These terms
These Terms of Service ("Terms") are a contract between you and BoxRouter, Inc. ("BoxRouter", "we" or "us"), a Delaware corporation at 3790 El Camino Real, Unit #658, Palo Alto, CA 94306, United States. They cover the BoxRouter website, dashboard, API, command-line tools, SDKs and hosted compute service (together, the "Service"). By creating an account, clicking to accept or using the Service, you agree to these Terms, our Privacy Policy and our Refund Policy, which are part of these Terms.
IMPORTANT: THE "DISPUTES AND ARBITRATION" SECTION REQUIRES MOST DISPUTES BETWEEN YOU AND BOXROUTER TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU CAN OPT OUT WITHIN 30 DAYS AS THAT SECTION DESCRIBES.
If you use the Service for an organization, "you" means that organization, and you confirm that you have authority to bind it. A separate written agreement signed by BoxRouter, such as an order form or data processing agreement, controls over these Terms for the subjects it covers.
Who can use BoxRouter
You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, if you are on a U.S. government restricted-party list, or if we previously terminated your account for violating these Terms. You must comply with the export-control and sanctions laws that apply to your use of the Service.
The Service
BoxRouter lets you create and run sandboxes, agents and jobs on third-party compute providers through one API and dashboard. You can use compute that BoxRouter pays for and charges to your credits ("BoxRouter-funded compute") where we offer it, or connect your own provider account.
Providers differ in features, performance, isolation, regions and data practices, and BoxRouter does not make them identical. We may add, change or remove providers, features, regions and limits at any time. Operations can fail or end in an uncertain state; follow the Service's recovery guidance instead of repeating an action that could run twice. We do not offer an uptime commitment unless we agree to one in writing.
Accounts and API keys
Keep your account information accurate. You are responsible for keeping your passwords, API keys, tokens and other credentials secure, and for all activity and charges under your account or credentials, whether or not you authorized them, except to the extent caused by our breach of these Terms. If you suspect a credential has been compromised, revoke it and tell us promptly at support@boxrouter.ai.
Workspace owners and administrators control their workspace's members, keys, settings and spending, and are responsible for the actions of the people they give access to. We may suspend, revoke or limit credentials or access when we reasonably believe it is necessary to protect the Service, you, other users, providers or anyone else.
Your own provider accounts
When you connect a provider account, you authorize BoxRouter to use the credentials you supply to perform the operations you request and the checks needed to run them. Connect only accounts and credentials you are authorized to use this way, with permissions limited to what the Service needs.
Your relationship with that provider is your own: you are responsible for its plan, settings, charges, limits and agreement. Disconnecting a provider account does not delete resources you created in it or stop its billing; remove those resources in the provider account if you no longer need them.
Provider terms
Compute providers have their own terms of service, acceptable-use policies and restrictions ("Provider Terms"). When you use a provider through BoxRouter, you agree to follow its Provider Terms and to make your users and customers follow them. BoxRouter cannot give you rights a provider has not granted.
Providers control their own infrastructure. A provider may suspend access, change its terms or prices, limit capacity or have an outage, and we may restrict a provider as a result; we will try to give notice when reasonably practicable. Unless we have expressly agreed otherwise in writing, BoxRouter is not responsible for and makes no promises about any provider's acts, omissions, availability, data handling or security.
Credits, payments and automatic top-ups
BoxRouter-funded compute and other paid features are paid for with prepaid credits ("Credits"). Checkout shows the amount, currency and any applicable tax before you pay, and each completed purchase has an invoice and receipt. Stripe processes payments, and you authorize us and Stripe to charge the payment method you choose. Compute run through your own provider account is billed by that provider, not by BoxRouter.
Usage is metered and deducted from your Credits. Estimates can differ from final metered charges, and charges for work in progress can settle after compute stops, which can make your balance negative. You remain responsible for those charges, including any negative balance.
Credits are a prepaid balance for the Service only. They are not money, a bank deposit or currency, have no cash value, and cannot be transferred between accounts or used outside the Service, except for refunds under our Refund Policy and these Terms or as the law requires. Purchased Credits do not expire.
Promotional Credits, such as credits from a promo code, are free, have no cash value, cannot be refunded or transferred, and may have their own eligibility and expiry terms, shown when they are issued. We may change or end a promotion, but we will not take back promotional Credits already issued and unexpired except for fraud, abuse or error.
If you turn on automatic top-ups, you authorize us to charge your payment method the amount you choose whenever your balance falls below the threshold you set, until you turn them off. Turning them off stops future automatic purchases but does not cancel a purchase already in progress or charges for compute that is still running.
We may change prices with advance notice; new prices apply to usage and purchases after they take effect. You are responsible for applicable taxes. We may correct billing errors, including by adjusting your balance, and will explain any adjustment if you ask.
Refunds
You can request a refund of unused purchased Credits from the Credits page within 24 hours after payment is confirmed, as described in the Refund Policy. The original payment processing fee is not refunded. Outside that window, purchases are non-refundable, except for billing errors, unauthorized charges, account closure as described in these Terms, or where the law requires otherwise.
Your content
"Your Content" means the code, commands, files, data, environment values, secrets and other material you submit to the Service, and the output your workloads produce. As between you and BoxRouter, you own Your Content. You grant BoxRouter a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process and display Your Content only as needed to provide, secure and support the Service, follow your instructions and comply with the law, including by sending it to the compute providers that run your workloads.
We do not sell Your Content or use it to train AI models. We do not access the contents of your workloads except as needed to operate or secure the Service, investigate suspected abuse or violations of these Terms, respond to legal process, or provide support you ask for.
You are responsible for Your Content and confirm that you have all rights, permissions and legal grounds needed to submit and process it, including any consent required from people whose personal data it contains. You decide whether the Service and the providers you choose are suitable for sensitive data. Do not use the Service for data that needs special legal protection, such as protected health information under HIPAA or payment card data, unless we have agreed to it in writing.
BoxRouter is not a backup service. Sandboxes, volumes and files can be lost, expire or be deleted. Keep your own copies of anything important.
Acceptable use
You must not use the Service, or help anyone else use it, to: break the law or Provider Terms; infringe or misappropriate anyone's rights; distribute malware, run phishing or send spam; commit fraud; scan, attack or gain unauthorized access to systems or networks you do not own or have permission to test; run denial-of-service attacks, botnets or open proxies; mine cryptocurrency; create, store or distribute child sexual abuse material or any content that exploits minors; harass or harm others; evade sanctions or export controls; get around usage limits, security controls, billing or account restrictions, including by creating multiple accounts; interfere with other users or the Service; reverse engineer the Service except where the law allows it; or share your credentials or resell access to the Service except as part of your own product, in which case you are responsible for your users.
We may investigate suspected violations, remove or block content, stop workloads, and suspend or terminate accounts. We may report illegal activity, including child sexual abuse material, to law enforcement and other authorities as the law requires or permits. We have no obligation to monitor Your Content.
Security research on BoxRouter is welcome if it follows our Security page. Testing anyone else's systems, including providers' infrastructure, requires their owner's permission.
Copyright complaints
If you believe material on the Service infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to BoxRouter, Inc., Attn: Copyright Agent, 3790 El Camino Real, Unit #658, Palo Alto, CA 94306, United States, or to support@boxrouter.ai. We will remove or disable access to infringing material where appropriate, and we will terminate the accounts of repeat infringers in appropriate circumstances.
Our rights and feedback
BoxRouter and its licensors own the Service, including its software, design and documentation. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. Open-source SDKs and tools are licensed under their own licenses, which control for that code. We reserve all rights not expressly granted.
If you send us feedback or suggestions, we may use them without restriction or obligation to you.
Suspension and closure
You may stop using the Service and close your account at any time. Before closing it, stop or delete running resources, turn off automatic top-ups and settle any negative balance. Closing your BoxRouter account does not delete resources in your own provider accounts.
We may suspend or terminate your access, in whole or in part, if you breach these Terms, if we reasonably believe your use creates risk for the Service, users, providers or others, if you do not pay, or if the law or a provider requires it. We will give notice when reasonably practicable. We may also stop offering the Service or any part of it.
If you close your account, or we close it or discontinue the Service for reasons other than your breach, we will refund your remaining purchased Credits, minus the original payment processing fees, to your original payment method within 30 days after outstanding charges settle. If you delete your account yourself in the dashboard, we refund your remaining purchased Credits automatically. If we terminate your account because you breached these Terms, unused Credits are forfeited except where the law requires otherwise. Sections that by their nature should survive, including payment obligations, ownership, disclaimers, limitation of liability, indemnity and dispute resolution, survive termination.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, BOXROUTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND SUPPLIERS (THE "BOXROUTER PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE OR ANY PROVIDER WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR AVAILABLE, THAT DATA WILL NOT BE LOST, OR THAT WORKLOAD RESULTS, PRICES OR BENCHMARKS SHOWN IN THE SERVICE WILL BE ACCURATE.
YOU ARE RESPONSIBLE FOR WHAT YOUR CODE AND AGENTS DO, FOR REVIEWING THEIR OUTPUT AND FOR DECIDING WHETHER THE SERVICE IS SUITABLE FOR YOUR USE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE BOXROUTER PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE BOXROUTER PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID BOXROUTER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100. THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN US AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.
Indemnity
You will defend, indemnify and hold harmless the BoxRouter Parties from any third-party claim, and related losses, damages, fines and costs (including reasonable attorneys' fees), arising out of or relating to Your Content or workloads; your use of the Service, including by your users and customers; your breach of these Terms, Provider Terms or applicable law; or your violation of anyone else's rights. We may take control of the defense of such a claim at our own expense, and you will cooperate with us.
Governing law
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. Except for disputes that must be arbitrated under the next section, you and BoxRouter submit to the exclusive jurisdiction of the state and federal courts located in Delaware. This does not take away mandatory consumer protections of the place where you live.
Disputes and arbitration
Informal resolution first. Before starting a claim, the party raising it must send the other a written notice describing the dispute and the relief sought: to BoxRouter at support@boxrouter.ai and our business address, and to you at your account email address. We will both try in good faith to resolve it within 60 days.
Binding arbitration. If we cannot resolve it, you and BoxRouter agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if you use the Service as an individual for personal purposes, and under its Commercial Arbitration Rules otherwise. The Federal Arbitration Act governs this section. Hearings may be held by video or decided on written submissions; any in-person hearing will be in the county where you live or another place we both agree. For claims of US$10,000 or less brought by an individual, BoxRouter will pay the AAA filing fees unless the arbitrator finds the claim frivolous.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may go to court to stop infringement or misuse of intellectual property or unauthorized access to the Service.
CLASS ACTION AND JURY WAIVER. YOU AND BOXROUTER MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND BOTH WAIVE ANY RIGHT TO A JURY TRIAL. If this waiver is found unenforceable for a claim, that claim must be decided in court, not in arbitration.
Mass filings. If 25 or more similar arbitration demands are filed against BoxRouter by or with the help of the same law firm or organization, they will be administered under the AAA's Mass Arbitration Supplementary Rules.
Opting out. You may opt out of this arbitration agreement by emailing support@boxrouter.ai from your account email address within 30 days after you first accept these Terms, stating that you opt out of arbitration. Opting out does not affect the rest of these Terms.
Time limit. To the extent the law allows, any claim must be brought within one year after it arises.
Changes to these terms
We may update these Terms. For material changes, we will notify you by email or in the Service at least 30 days before they take effect, unless a change is required by law or concerns new features or security, in which case it may take effect sooner. If you keep using the Service after a change takes effect, you accept it; if you do not agree, stop using the Service and close your account. A dispute is governed by the version of these Terms in effect when the dispute arose.
General terms
These Terms, with the documents they reference, are the entire agreement between you and BoxRouter about the Service and replace any earlier agreements on that subject. If any part is unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect. Not enforcing a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, reorganization or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as provider outages, internet or power failures, natural disasters or government action, except for payment obligations. There are no third-party beneficiaries.
You agree to receive notices and other communications from us electronically, by email or in the Service, and that they satisfy any requirement to be in writing. While you have an account, we may send you service and account messages that you cannot opt out of.
